Terms of Service
These Terms of Service govern your access to and use of the Onvyr website, application, and related services provided by Onvyr Software and AI Marketing.

Agreement to these terms
These Terms of Service form an agreement between you and Onvyr Software and AI Marketing regarding your access to and use of the Onvyr website, application, and related services.
By accessing or using Onvyr, creating an account, joining a workspace, starting a subscription, or otherwise using the service, you agree to these Terms. If you do not agree, you should not use Onvyr.

About Onvyr
Onvyr is a software platform designed to help project teams organize project information, areas, assets, observations, documents, reports, operational context, and related workflows.
Onvyr may include AI-assisted features that help users search, summarize, structure, analyze, or generate project-related information. These features are intended to support users, not replace professional judgment or responsibility.

Eligibility and authority
You may use Onvyr only if you are legally able to enter into an agreement and use business software in your jurisdiction.
If you use Onvyr on behalf of a company, organization, client, project team, or other legal entity, you represent that you have authority to accept these Terms on behalf of that entity.
The organization is responsible for the activity of users invited to its workspace and for ensuring that its use of Onvyr complies with applicable laws, internal policies, and project obligations.

Accounts and workspace security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account or workspace.
You must provide accurate account information and keep it reasonably up to date.
You should notify Onvyr promptly if you believe your account, workspace, credentials, or project information may have been accessed without authorization.

Customer content
You and your organization retain ownership of the project information, documents, observations, reports, notes, files, prompts, inputs, and other content submitted to or created within Onvyr, except for Onvyr’s own software, design, systems, templates, and underlying technology.
You grant Onvyr a limited right to host, process, transmit, display, store, copy, and use customer content only as needed to provide, secure, maintain, support, and improve the service, comply with legal obligations, and enforce these Terms.
You are responsible for the accuracy, legality, quality, and appropriateness of the content you submit to Onvyr, including any personal data, confidential information, project records, or third-party materials.

AI-assisted features and outputs
Onvyr may use AI service providers, including OpenAI, to provide AI-assisted functionality. Relevant workspace content, prompts, context, instructions, and outputs may be processed to deliver these features.
AI-generated or AI-assisted outputs may be incomplete, inaccurate, outdated, misleading, or unsuitable for a particular purpose. You are responsible for reviewing outputs before relying on them.
AI outputs should not be treated as the sole source of truth or as a substitute for professional, legal, financial, safety, engineering, construction, compliance, or project-critical advice.
You are responsible for deciding how to use AI-assisted outputs and for ensuring that any use of those outputs complies with applicable laws, project requirements, professional standards, and internal review processes.

Acceptable use
You may not use Onvyr to violate laws, infringe rights, upload unlawful content, misuse personal data, compromise security, interfere with the service, reverse engineer restricted parts of the platform, or attempt to gain unauthorized access to systems or data.
You may not use Onvyr to submit malware, harmful code, deceptive content, abusive material, or content that you do not have the right to use.
You may not use Onvyr or its AI features to generate or support harmful, illegal, deceptive, discriminatory, or unsafe activity.
We may suspend or restrict access if we reasonably believe use of Onvyr creates security risk, legal risk, operational risk, harm to other users, or a violation of these Terms.

Subscriptions, billing, and payments
Onvyr may offer free, trial, paid, or custom plans. Plan features, limits, pricing, billing periods, and availability may vary and may be shown on the website, in the application, in an order form, or in separate customer communications.
Payments may be processed through Stripe. By purchasing a paid plan, you agree to provide accurate billing information and authorize applicable charges for the selected plan, renewal period, usage, taxes, and other agreed fees.
Unless otherwise stated, subscriptions may renew automatically until cancelled. You are responsible for cancelling before renewal if you do not want the subscription to continue.
Fees are generally non-refundable except where required by law or expressly stated in a separate written agreement, order form, or refund policy.

Taxes
Prices may exclude taxes, duties, levies, or similar governmental charges unless stated otherwise.
You are responsible for any applicable taxes connected with your purchase or use of paid Onvyr services, except for taxes based on Onvyr’s income.

Service changes and availability
We may update, improve, modify, suspend, or discontinue parts of Onvyr as the product evolves.
We aim to provide a reliable service, but we do not guarantee that Onvyr will always be available, uninterrupted, error-free, secure, or free from data loss.
Some features may be released as beta, preview, experimental, or early-access functionality. Such features may change, break, be limited, or be discontinued.

Third-party services
Onvyr may rely on third-party services for hosting, infrastructure, storage, authentication, analytics, payments, communications, AI processing, support, security, and other operational needs.
Your use of certain features may also be subject to third-party terms, policies, or technical limitations.
Onvyr is not responsible for third-party services that it does not control, but we aim to work with reputable providers appropriate for the services they provide.

Privacy and data protection
Our Privacy Policy explains how we collect, use, share, and protect personal information. Our Cookie Policy explains how we use cookies and similar technologies.
For business customers, additional data processing terms or a Data Processing Agreement may apply where Onvyr processes personal data on behalf of the customer.
Customers are responsible for ensuring that they have the necessary rights, notices, consents, and legal bases to submit personal data and project information to Onvyr.

Intellectual property
Onvyr and its software, design, branding, interfaces, workflows, documentation, templates, systems, models, product concepts, and underlying technology are owned by Onvyr Software and AI Marketing or its licensors.
These Terms do not grant you ownership of Onvyr’s intellectual property. You receive only the limited right to access and use the service according to these Terms and any applicable plan or agreement.
You may not copy, modify, distribute, sell, lease, sublicense, or create competing services from Onvyr’s protected materials except where permitted by law or agreed in writing.

Feedback
If you provide feedback, suggestions, ideas, or improvement requests, you allow Onvyr to use them without restriction or compensation to you.
Providing feedback does not transfer ownership of your customer content, project data, or confidential materials.

Confidentiality
Onvyr may give users access to non-public product information, beta features, pricing, technical details, or business communications. Users should not disclose such information unless it is already public or disclosure is authorized.
Customers are responsible for managing the confidentiality of their own project information and for deciding which users should have access to each workspace.

Suspension and termination
You may stop using Onvyr at any time. If you have a paid subscription, cancellation terms may depend on your plan, billing provider, order form, or separate agreement.
We may suspend or terminate access to Onvyr if we reasonably believe that you have violated these Terms, created security or legal risk, failed to pay applicable fees, misused the service, or used Onvyr in a way that may harm Onvyr, users, customers, or third parties.
After termination, access to the account or workspace may be limited or removed. We may retain certain information where required for legal, security, billing, backup, dispute, or compliance purposes.

Disclaimers
Onvyr is provided on an “as is” and “as available” basis to the maximum extent permitted by law.
We do not make warranties that Onvyr will be uninterrupted, error-free, fully secure, free from data loss, suitable for every project, or capable of meeting every legal, technical, operational, or professional requirement.
Onvyr does not replace professional judgment, project controls, legal advice, engineering review, construction supervision, safety procedures, compliance review, or other expert decision-making.

Limitation of liability
To the maximum extent permitted by law, Onvyr Software and AI Marketing will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, data, project records, or anticipated savings.
To the maximum extent permitted by law, Onvyr’s total liability for claims connected with the service will be limited to the amount paid by you to Onvyr for the service giving rise to the claim during the twelve months before the event giving rise to liability, or a lower amount if required by an applicable plan or agreement.
Nothing in these Terms limits liability where it cannot legally be limited.

Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Onvyr Software and AI Marketing from claims, damages, liabilities, costs, and expenses arising from your use of Onvyr, your customer content, your violation of these Terms, your violation of law, or your infringement of third-party rights.

Changes to these terms
We may update these Terms from time to time as Onvyr, our business, our providers, or legal requirements evolve.
When we make changes, we will update the “Last updated” date. If changes are material, we may provide additional notice where appropriate.
Your continued use of Onvyr after updated Terms become effective means you accept the updated Terms.

Governing law
These Terms are governed by the laws of Greece, without regard to conflict of law principles.
Unless otherwise required by applicable law or agreed in a separate written agreement, the courts of Greece will have jurisdiction over disputes arising from or relating to these Terms or the use of Onvyr.
If you use Onvyr as a consumer and mandatory consumer protection laws in your country provide additional rights, nothing in these Terms is intended to limit those rights where they cannot legally be excluded.
